Megjegyzések:	The paper is concerned with the most influential factors on the dual distribution offranchise systems, namely, what defines the rate of company-owned and franchisedoutlets within the franchise systems. In the frames of the contractual theories of thefirms this question can be answered. According to Williamson and his theory oftransaction costs, every transaction should be organized by the governance structurethat causes the lowest governance cost. On this base some theory (the four mostimportant are: resource scarcity, agency, search and property rights theory) assumethat the firm isn't completely vertically integrated because some costs (e.g. capitalcosts, monitoring costs, search costs, the costs of transferring knowledge) may bereduced by franchising rather than owning outlets. In this paper I introduce two ofthe four theories, namely resource scarcity and search theory. Beside of these two,the signaling theory complements the transaction cost based approaches by layingspecial emphasis on the information asymmetry situations before signing a contract.
